General Terms and Conditions of Sale
These terms and conditions govern the sale of products and services by SLS. And its affiliates (collectively, “SLS.”) To the Client. Additional conditions may apply to the services provided by SLS. (For example, the corporate subscription agreement). If these additional conditions do not comply with the terms of sale, the additional conditions will prevail over these sales terms. Please read terms and conditions carefully before ordering with SLS. By accepting an order with SLS., the customer marks his acceptance with these terms. The customer expressly waives his standard terms, even if they established after these standard terms of sale. To valid, any waiver must expressly approved in writing. Our invoices can be paid within 21 business days, unless another payment period shown on the invoice or order. SLS reserves the right to request a fixed interest payment of 15% of the remaining amount owed in case of no payment on the due date. SLS. will allow to suspend all services without notice if the late payment happen. Suppose the payment is still outstanding more than (60) days after the SLS payment due date. Reserves the right to rely on the services of a debt collection company. The Client pays all legal fees. Some countries apply withholding tax to the amount of invoices, following their domestic legislation. The Client will pay any deduction at source to the tax authorities, under no SLS. Get involved in the costs of a country's legislation. The amount of the invoice is, therefore, due to SLS. In its entirety and does not include the costs related to the country's legislation in which the customer located. SLS. Commits to doing its best to provide services on time, following the agreed deadlines. However, none of its obligations can consider an obligation to achieve results. SLS. Under no circumstances can the Client be required to appear as a third party in connection with a claim for damages filed against the customer by a final consumer. To make it permissible, SLS. Must be informed of any complaint using a letter sent to its head office using a recorded delivery within eight days of delivering the goods or the delivery of the services. To the extent permitted by law, each party's total liability and its affiliates will not exceed 50% of the total amount paid by the Client under these conditions in 12 months immediately preceding the event's date. Multiple claims should not prolong this restriction. SLS. Reserves the rights to change these conditions at any time without notice. The customer is subject to the conditions in force at the time of acceptance of these conditions. All our contractual relations are governed only by Belgian law. Besides, any dispute that may arise will only be subject to the jurisdiction of the courts of the district of Ottawa (Canada).
